Management Team

Sherman Lazrus, Chief Executive Officer

In addition to serving as the CEO of Hemacell Perfusion, Sherman Lazrus is President and Chief Executive Officer of American Medical Capital, a division of American Medical Enterprises, LLC  – a financial services and investment banking company.

Mr. Lazrus was raised in Boston, Massachusetts, and as a teenager attended what is now known as Berklee College of Music where he majored in composition and arranging.  After being discharged from the military (having served four years in the U.S. Air Force), Mr. Lazrus attended George Washington University where he received A.A., B.A. and M.B.A. degrees.

Mr. Lazrus was initially employed with the Federal Government and was involved with the development of the Medicare and Medicare programs, and later served as the Director of Policy Coordination for the two programs.  Ultimately he served as the Deputy Assistant Secretary of Defense to Donald Rumsfeld.  He was the Federal Government’s senior career health official.

While in the private sector, Mr. Lazrus was Vice President of American Medical International, Inc. – a major NYSE hospital corporation, which owned and operated numerous hospitals around the world.

As a developer, Mr. Lazrus was responsible for the development of various Washington, D.C. area office buildings, shopping centers, and industrial warehouses.  He also developed various residential communities.

As a major stockholder, Mr. Lazrus has also been involved in the development of two commercial banks in the Washington, D.C. area.  He is also the recipient of a superior service award while in Government and has been listed in Who’s Who in Government, Who’s Who in Finance and Industry, and Who’s Who in the World.  In 2003, Mr. Lazrus was named Businessman of the Year (Maryland) by the Republican National Congressional Committee and was also selected for inclusion in the Business Advisory Council’s Republican Chairman’s Honor Roll.

Mr. Lazrus has been involved as a board member of several publicly traded health care corporations.  He has served as Chairman of the Board of Emergency Filtration Products (EMFP) and as a board member of Imaging Diagnostic Systems, Inc. (IMDS) and Diasys Corporation (DYXC).

James C. Hardy, President & Chief Science Officer

James Hardy is the President and Chief Science Officer of Hemacell Perfusion, Inc. located in Frederick, Maryland. Hemacell Perfusion was established in 2005 to commercialize a proprietary method for the isolation of stem cells from placental and umbilical tissues to be used in basic research and eventually therapeutics.

Prior to his involvement in Hemacell Perfusion, Mr. Hardy accrued over 20 years of experience in biosciences and industry, most recently as the President and CEO of Gahaga Biosciences. Previously, he was Director of Operations with In Vitro Technologies of Catonsville, Maryland and worked for 14 years at Life Technologies, holding leadership roles in the Cell Biology, Biochemistry, Enzymes, Packaging, Receiving and Engineering groups. He has substantial knowledge of human hepatocytes and other primary cells, media formulations, protein purification as well as international sales & distribution by opening In Vitro Technologies, GmbH, a wholly owned subsidiary established in Leipzig, Germany.

Jay Lazrus, Secretary

In Addition to being Secretary for hemacell perfusion, Mr. Lazrus serves as Senior Legal Counsel for American Medical CapitalHe assists the organization in SEC matters such as rules, regulations and compliance.  Furthermore, he assists in real estate transactions and various legal documents and agreements including private placement and compliance with state and federal securities laws.  He has managed investment offerings in over thirty states.

In addition, Mr. Lazrus also provides advice and counsel on federal regulatory and business matters to companies engaged in wireless (including IVDS, PCS, SMR and Cellular) and broadcast industries. He has represented clients before federal agencies including the SEC, FCC, IRS and state agencies including the state corporation commission and department of securities.

Before joining AMC, Mr. Lazrus was a Senior Associate at Myers Keller (1994-2000) and prior to that spent 9 years at First Cambridge Corporation as in-house counsel -- were he was also Executive Vice President.

He earned his B.A. at the University of Maryland.   He later earned his J.D. from the University of Maryland School of Law, and is licensed to practice law in Maryland, District of Columbia and Virginia.  Mr. Lazrus went on to complete his Masters in Taxation (with honors) from Georgetown Law Center. Finally, from the National Center for Mediation Education, he earned his Mediator Certificate in 1991.
